Advertising Partnership Agreement

This Advertising Partnership Agreement (the “Agreement”) is made and entered into this in by and between:

BETRNK TOURS INC., a corporation duly organized and existing under and by virtue of the laws of the Republic of the Philippines with office address at the Level 24 BGC Corporate Center 30th street corner 11th Avenue Bonifacio Global City, Taguig 1634, represented herein by its Chairman, MS. JULIE ANN G. INGUA hereinafter referred to as the “BETRNK TOURS”

RECITALS:

1. BETRNK TOURS operates and maintains a magazine called “B Ticket Magazine” (the “Magazine”), which serves as a platform for promoting various activities, places, shops, businesses, and other establishments.
2. BETRNK TOURS seeks to collaborate with select shops and businesses to expand the reach of the Magazine by featuring B ticket Racks (“B-Racks”) in their establishments.
3. PARTNER agrees to participate in this collaboration by allowing the placement of Bticket Racks within its premises in exchange for complimentary advertisement placements in the Magazine, subject to the terms and conditions of this Agreement.

TERMS AND CONDITIONS:

1. DISPLAY OF B-RACKS. PARTNER agrees to prominently display the B-Racks at a visible and high-traffic location within its shop and/or businesses premises. PARTNER shall provide adequate space to ensure visibility and accessibility of the B-Rack for customers.
2. COMPLIMENTARY ADVERTISEMENT
   1. BETRNK TOURS agrees to provide the PARTNER with an advertisement placement in the Magazine, free of charge, under the terms of this Agreement.
   2. The advertisement shall be of Single Page and will feature the PARTNER’s company name, logo, contact details, and other content that the PARTNER may wish to include.The advertisement shall be placed in a section of the Magazine designated for promotional content related to partnered shops.
   3. The content of the advertisement is subject to BETRNK TOURS’s editorial approval to ensure compliance with publication standards, formatting, and brand consistency. However, any modifications to the advertisement shall be communicated in writing and approved by both parties before publication.
3. TERM AND TERMINATION
   1. This Agreement shall commence on June 1, 2025 and remain in effect for months, unless terminated earlier by 30 days' written notice. .
   2. b. Either party may terminate this Agreement if the other party fails to fulfill its obligations under this Agreement, including but not limited to failure to maintain the B-Rack properly or failure to publish the agreed advertisement.
4. OBLIGATIONS OF THE PARTNER
   1. a. PARTNER shall maintain the B-Rack in a clean and accessible condition within its premises. PARTNER shall not relocate, remove, or obstruct the B-Rack without prior written consent from the BETRNK TOURS.
   2. b. PARTNER shall notify BETRNK TOURS immediately in case of any damage to or loss of the B-Rack. PARTNER agrees not to place competing promotional materials near or on the B-Rack without prior approval from the BETRNK TOURS.
5. OBLIGATIONS OF THE BETRNK TOURS
   1. BETRNK TOURS shall ensure the timely distribution of the Magazine to the PARTNER’s location to maintain a steady supply of publications in the B-Rack.
   2. BETRNK TOURS shall provide the agreed advertisement placement on all of its issues free of charge while PARTNER complies with the conditions set forth in this Agreement.
   3. BETRNK TOURS shall have the right to audit the placement and condition of the B-Rack to ensure compliance with the Agreement.
6. CONFIDENTIALITY. No announcement or disclosure will be made concerning the contents of this Agreement except as may be required by law or any government authority or regulatory body and only with the prior written approval of the parties. All information that is exchanged in relation to this Agreement shall remain confidential.
7. MISCELLANEOUS. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and communications. Any amendments to this Agreement must be made in writing and signed by both parties. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by the laws of the Republic of the Philippines.
8. BINDING EFFECT. This Agreement shall be binding upon the administrators, executors, successors and assigns of the Parties hereto.
